Terms of Service
Effective August 8, 2026
These Terms of Service govern your use of the SimpleLogic Solutions LLC website. They are separate from, and do not by themselves create, any agreement to provide IT services — actual service engagements are governed by our Managed Services Agreement and any Service Order or Statement of Work signed by both parties.
1. Who we are and who this applies to
“SimpleLogic,” “we,” “us,” and “our” refer to SimpleLogic Solutions LLC, located at 2301 Cloverdale Road, Nashville, TN 37214. “Site” means the website at https://simplelogic.net. “You” means the business or individual accessing the Site.
We provide services to businesses, not individual consumers. By using the Site or engaging us for services, you represent that you are acting on behalf of a business, that you are at least 18 years old, and that you have the authority to bind that business to these Terms and, where applicable, to a Managed Services Agreement.
2. Services referenced on this Site
The Site describes services we offer, including managed IT services, network and server management, cybersecurity, help desk support, cloud hosting, website and software development, hardware sales, and electronics recycling. Descriptions and pricing on the Site are informational and do not constitute an offer that becomes binding merely by your viewing the Site. A service relationship is formed only when you and SimpleLogic sign a Managed Services Agreement (the “MSA”) and, if applicable, a related Service Order or Statement of Work (“SOW”). If you are an existing customer, the MSA controls the terms of your service relationship; where the MSA and these Terms conflict as to service delivery, the MSA governs.
3. Acceptable use of the Site
You agree not to:
- Use the Site in any way that violates applicable law or these Terms;
- Attempt to gain unauthorized access to the Site, our systems, or any account or data not belonging to you;
- Interfere with or disrupt the Site, introduce malicious code, or probe, scan, or test the vulnerability of the Site without our written consent;
- Scrape, harvest, or use automated means to collect content or data from the Site except as permitted by robots.txt; or
- Misrepresent your identity or affiliation, or use the Site to transmit unsolicited advertising.
4. Content submitted through the Site
If you submit information through our contact form or otherwise send us information through the Site, you grant us the right to use it to respond to you and to operate our business (for example, to follow up on a service inquiry). Do not submit sensitive information — such as passwords, financial account numbers, or protected health information — through the contact form. 5. Intellectual property
The Site and its content — including text, graphics, logos, and the underlying design and code — are owned by SimpleLogic Solutions LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your own informational purposes. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent, except as necessary to print or save a page for your own reference.
Ownership of intellectual property created in connection with actual service work is addressed in the MSA, not in these Terms.
6. Third-party links and services
The Site may link to third-party websites or services we do not control, including our client portal. We are not responsible for the content, security, or practices of third-party sites. Use of any linked third-party service is subject to that party’s own terms.
7. No professional advice
Content on the Site is provided for general informational purposes about our services and does not constitute IT, security, or legal advice for your specific environment. Recommendations specific to your business are provided only through an active service engagement under an MSA and, where applicable, an SOW.
8. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Warranties (if any) applicable to actual services performed are set out exclusively in the MSA or the applicable SOW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLELOGIC SOLUTIONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). This limitation applies to use of the Site itself; liability arising from actual service engagements is governed by the limitation of liability provision in the MSA.
10. Indemnification
You agree to indemnify and hold SimpleLogic Solutions LLC harmless from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your misuse of the Site or your violation of these Terms.
11. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved by binding arbitration administered in Davidson County, Tennessee, as described in the “Dispute Resolution” section of our Managed Services Agreement, which applies to disputes under these Terms as if fully set out here.
12. Changes to these Terms
We may update these Terms from time to time. The “Effective” date at the top of this page reflects the most recent revision. Material changes will be reflected by an updated effective date; continued use of the Site after a change constitutes acceptance of the revised Terms.
13. Related documents
These Terms work together with our Privacy Policy, Cookie Policy, and, for customers, our Managed Services Agreement. Together, these documents govern your relationship with SimpleLogic.
