1. Using the website and ordering services
Use our website lawfully and review these Terms before placing an order. You must be at least 18 and legally able to enter into a contract to purchase services. If you order for an organization, you must have authority to bind it.
Website descriptions are general information. An inquiry does not create a service agreement or reserve capacity. Services begin under an accepted quote, order, or signed service agreement.
2. Your service agreement
Your accepted quote or signed service agreement identifies the services, scope, pricing, service term, renewal provisions, and any additional requirements. That agreement controls if it conflicts with these Terms. Applicable third-party product and license terms also apply to those products.
Cancellation notice, minimum terms, refunds, hardware returns, and transition assistance are governed by your applicable quote or agreement and any mandatory legal rights. Contact us before cancelling or returning equipment so we can review the terms that apply.
3. Billing and payment
Unless your accepted quote or signed agreement states otherwise, service invoices are due within 30 days of the invoice date (net 30). Hardware invoices are due on receipt. Charges and any applicable taxes will be identified in your quote or invoice.
Promptly contact us about any disputed invoice so we can review it. Late fees, collection charges, and suspension for nonpayment apply only as provided in your agreement and permitted by law; these Terms do not establish a separate late-fee schedule.
4. Support and availability
Our standard support hours are Monday through Friday, 9:00 AM to 5:00 PM Central Time. Contact support@simplelogic.net or call 615-235-0779 for support.
We do not promise a particular response time, resolution time, uptime percentage, or continuous availability unless expressly included in a signed agreement. Maintenance, outages, internet connectivity, power loss, and third-party failures may affect availability. After-hours work requires a separate arrangement.
5. Customer responsibilities
Provide accurate contact, billing, and technical information and authorize the access necessary for the agreed work. You are responsible for having permission to share information, administer systems, and use software and content supplied to us.
Protect your account credentials, promptly report suspected unauthorized access, and cooperate with reasonable troubleshooting and security requests. Do not send passwords, full payment-card details, or sensitive personal records by ordinary email.
Backup scope, frequency, retention, recovery objectives, and each party’s responsibilities must be established in your quote or service agreement. Hosting or support alone should not be treated as a promise of backup coverage. Discuss backup requirements with us before relying on a service for critical data.
6. Acceptable use
Do not use our website or services for unlawful activity, fraud, harassment, infringement, unauthorized access, malware distribution, unsolicited bulk messaging, or interference with other users or networks. Do not bypass security measures or exceed agreed resource limits.
We may restrict access as reasonably necessary to address an active security threat, unlawful use, or a binding legal requirement. Where practical and lawful, we will explain the issue and coordinate remediation. Other suspension and termination rights are governed by your service agreement.
7. Third-party platforms and hardware
Services may depend on Microsoft Azure, other vendors, telecommunications providers, and infrastructure operated by us in a colocation facility. Their availability, license terms, and technical limitations may affect your services.
Manufacturer warranties and agreed return terms govern hardware. These Terms do not create an additional hardware warranty or take away warranties or remedies that cannot lawfully be excluded.
8. Business phone services and emergency calling
Internet-based phone service depends on power, internet access, working equipment, and the underlying carrier. Emergency calling may be affected by outages, configuration, or inaccurate location information.
Keep registered emergency-service location information current, follow the carrier’s emergency-calling instructions, and maintain another way to reach emergency services during an outage. Carrier-specific emergency disclosures and any required acknowledgments will be addressed in the applicable phone service documentation. These Terms do not replace them.
9. Ownership and customer information
We and our licensors retain ownership of our website, branding, and pre-existing materials. You retain ownership of your content and data. You authorize us to access, process, and transmit that information only as needed to provide the agreed services, follow your instructions, and meet legal obligations.
Privacy practices are described in our Privacy Policy. Any confidentiality, data-processing, or regulated-data requirements should be addressed in your service agreement. Do not assume that purchasing ordinary hosting or support establishes a specialized compliance arrangement.
10. Warranties and responsibility
We will provide services consistent with the applicable agreement and mandatory law. Technology services involve risks, and we cannot guarantee that every fault will be resolved or that systems will be free from interruption or security incidents.
Except for express commitments in your agreement and warranties required by law, the website and its general information are provided as available without additional warranties, to the extent permitted by law.
Any negotiated liability limits are stated in your signed service agreement. These Terms do not create a separate monetary liability cap or waive rights or remedies that cannot lawfully be waived.
11. Governing law and disputes
Unless your signed agreement states otherwise, Tennessee law governs these Terms, subject to federal law and any consumer protections that apply regardless of this choice. Please contact us first about a dispute so we can attempt to resolve it. These Terms do not require arbitration or waive access to small-claims courts or other mandatory remedies.
12. Changes and contact
We may update these Terms and will revise the date shown above. An update to this website does not automatically amend an existing signed agreement. Material service-contract changes must follow that agreement’s change process and applicable law.
